Terms of Service

The agreement that governs your use of WaChat.

1. Acceptance of terms

By accessing or using WaChat, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using WaChat on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

2. Definitions

  • "WaChat" or "we" means Serves Technologies Pvt. Ltd.
  • "Services" means the WaChat platform, including the website and the application.
  • "Customer Data" means data you upload to or generate through the Services.
  • "Meta Charges" means the per-conversation fees charged by Meta Platforms, Inc. for use of the WhatsApp Cloud API.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@serves.in if you suspect unauthorised access.

4. Acceptable use

You agree not to use the Services to:

  • Send unsolicited bulk messages, spam, or content prohibited by Meta's WhatsApp Business Messaging Policy
  • Send messages without the recipient's prior opt-in consent
  • Impersonate any person or organisation
  • Distribute malware, phishing content, or links to illegal goods or services
  • Violate any applicable law, including the Information Technology Act 2000, the Consumer Protection Act 2019, and the Digital Personal Data Protection Act 2023
  • Reverse-engineer, decompile, or attempt to extract source code from the Services

We may suspend or terminate accounts that violate these rules, with or without prior notice.

5. Fees and billing

Plan fees are billed in advance, monthly or annually. Meta Charges are billed in arrears, at the published rate Meta charges us, with no markup.

All fees are in Indian Rupees (INR) and exclusive of GST. GST is added at the applicable rate for Indian customers. You authorise us to charge your designated payment method on each billing date.

Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

6. Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Pre-paid fees are non-refundable except where required by law. Meta Charges already incurred are payable regardless of cancellation.

7. Customer Data ownership

You retain all rights, title, and interest in your Customer Data. You grant WaChat a worldwide, non-exclusive licence to host, process, and transmit Customer Data solely to provide the Services to you.

You are solely responsible for the legality of Customer Data and for obtaining the consent of any third parties (including your end-customers) required to process their data.

8. Intellectual property

The Services, including all software, documentation, and trademarks, are owned by WaChat and protected by intellectual-property laws. Nothing in these Terms grants you any rights to our intellectual property other than the limited right to use the Services in accordance with these Terms.

9. Warranties and disclaimers

WaChat provides the Services "as is" and disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, WaChat's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the fees you paid to WaChat in the twelve months preceding the event giving rise to the claim. In no event shall WaChat be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold WaChat harmless from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising from your use of the Services in breach of these Terms or applicable law.

12. Termination

Either party may terminate these Terms for material breach by the other party that remains uncured 30 days after written notice. Upon termination, your access to the Services will be revoked and your Customer Data will be deleted in accordance with our Data Deletion policy.

13. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. The parties agree to first attempt resolution through good-faith negotiation for 30 days before commencing formal proceedings.

14. Changes to these Terms

We may amend these Terms by posting a revised version with an updated effective date. Material changes will be notified to active Customers by email at least 30 days before taking effect.
